IJA Board Meeting-March 21, 2007

1. CALL TO ORDER: Chair Kim Laird called the meeting to order at 8:06 p.m. EST.

2. ROLL...Present: Kim Laird, chair; Sandy Brown, Don Lewis, Jim Maxwell, Will Penman (board members); Chuck Hawley (Recording Secretary); John Satriano (Festival Director), Holly Greeley (Treasurer), Martin Frost (Communications Director)
Absent: Bob Neuman, Jerry Martin

3. APPROVAL OF AGENDA: Agenda approved by unanimous consent.

4. PREVIOUS MINUTES: Minutes of the Feb. 21, 2007 meeting passed by unanimous consent.

5. REPORTS
Festivals (John Satriano)
Tom Renegade would like to have 4 Renegade shows instead of 3. It's the 21st year and he wants to have a special show on Saturday night. Right now we do not have an auction director and John questions if we need one. Scott Plapinger is working with an expert on fund raising and non-profits. She is willing to help on a friendly basis. We have had very little pre-registration activity. Contact with Jerry Martin is necessary to resolve this problem. Kim is looking into this.

Finances (Holly Greeley)
Kim is trying to get the 1st quarter financial done for the next issue of Juggle. There have been some issues with people using Paypal and not getting their receipts via email. Holly is going to look into this.

Membership (Jim Maxwell)
Membership has remained relatively static- 1722 members active.

Store (Sandy Brown)
Sales are generally slow now. This seems to be due to trends (post holiday and post sale).

e-Newsletter (Don Lewis)
E-Newsletter is ongoing.

Phone Program (Will Penman)
Will tried the program of contacting members via email and phone and did not have much luck getting responses back. Although he did have a few good responses he thinks that the program should end. The phone he has been using will sent to Sandy for IJA business.

7. NEW BUSINESS
7a. Don Lewis moves to accept the attached agreement between the IJA and Jason Garfield in regards to the People's Choice DVD being produced by the IJA. See attachment A. Seconded by: Jim Maxwell.
Discussion-Attachment A is modified following board's discussion. (Jason's provision part 3)
Motion passes by unanimous consent.

7b. Kim Laird moves for the board to utilize the online survey company www.speedsurvey.com to conduct an email survey of present and recent former members to get member input on various IJA topics. The IJA will cover the cost of the online service ($20). See attachment B for survey questions. Seconded by: Jim Maxwell.
Discussion- The open forum and Scott Plapinger's non-profit acquaintance is will to help for free. Don recommends that the IJA covers the cost and not Kim. The board agrees and the motion is changed. The question will be decided on in the future.
Motion passes by unanimous consent.

7c. Sandy Brown moves that the IJA send extra copies of the spring JUGGLE magazine to the attached list of schools for promotion of the Winston-Salem fest, the IJA, and juggling. See attachment C for detailed plan. Seconded by: Don Lewis.
Discussion- The cost will be covered by an anonymous individual.
Motion passes by unanimous consent.

7d. Jim Maxwell moves for approval in principle of the draft agreement between sponsors of the DVD magazine and the IJA. If the draft has no material revisions, no further board approval is necessary. See attachment D. Seconded by: Don Lewis
Motion passes by unanimous consent.

7e. Kim moves for purchase of a new credit card terminal. Seconded by: Sandy Brown.
Discussion: Cost will be approximately $275 + supplies.
Motion passes by unanimous consent.


7f. Don Lewis moves to permanently amend the IJA Pre-Election and Election Regulations as follows:
--Change 'Nomination submission deadline for candidate's name to appear on the Mail-in Ballot' from March 31 to April 10.
--Change 'Candidacy statement submission deadline for a statement to be published in conjunction with the mail-in ballot' from April 7 to April 15. Seconded by: Jim Maxwell.
The motion passes by unanimous consent.

8. NEXT MEETING: Next regular BOD meeting will be held April 18, 2007 at 8pm EDT. Agenda items due to BOD chair on or before April 8, 2007.

Attachment A:
Contract between the International Jugglers' Association and Jason Garfield.

The following sets forth the terms between Jason Garfield and the
International Jugglers' Association, within this contract referred to as ("IJA") for a
video rights exchange.

Jason Garfield Provisions

1. Jason Garfield grants permission to the IJA to use footage from his 2nd place routine as captured on video during the 2000 IJA Individuals
Competition held in Montreal.

2. This footage may be used on the IJA's people's choice award DVD
highlighting the first twenty recipients of the IJA's People's Choice Award.

3. A link to Jason Garfield's website will be superimposed at the discretion of the video producer over up to the first and/or last 10 seconds of the footage used. URL will be superimposed as follows www.jasongarfield.com"

IJA Provisions

1. IJA grants permission for Jason Garfield to use footage from his 2000 and 2002 IJA Individuals Competition routines for use on retail DVD to be produced by Jason Garfield and/or the World Juggling Federation. Footage may include Jason Garfield's emcee introduction, competition routine, emcee outro, and any awards footage leading up to and including Jason Garfield.

2. Jason Garfield agrees to provide the IJA with a credit on the DVD that contains this footage. The credit will list the DVD that the IJA footage is taken from and include the IJA's URL, www.juggle.org.

The effective date of this Agreement shall be the date set forth below to be completed by the IJA. This Agreement shall not be effective until both parties have executed it by signing where provided.

Attachment C:
The following is a list of schools to which I propose we send a copy of the spring issue of JUGGLE. All information used in compiling this list is from www.localschooldirectory.com/city_search_result.php/city/Winston%20Salem. I have removed all schools which were strictly lower elementary grades. I have also deleted schools which had a total of 20 or less students. I left Arts Based Elementary School on the list only because they do have juggling as part of their curriculum. I will happily call the building principals prior to the magazines being mailed to check on their receptiveness to a free issue of JUGGLE.

The step-by-step procedure I would like to establish for this project is as follows:
1. Call each building principal to ask if they are open to receiving a free issue of JUGGLE.
2. Compose a letter to be included with these magazines or to be mailed in advance of the magazine introducing the IJA and letting the building administrator know some of the benefits of juggling and that the IJA is coming to town in July
3. Mail out the spring issue of JUGGLE to the list of schools included here.
4. Follow up with either a phone call or letter in mid to late May to get feedback on the magazine and explain how the school can have JUGGLE in their library year round.

Cost of mailing: I will be getting this figure from the post office.

This is a draft sent by Andrew.

Agreement between ______________________ ("Sponsor") and the International Jugglers' Association ("IJA").

The IJA will be producing a DVD magazine ("JuggleVision") which will be distributed to all IJA members, and may be sold through other channels as well. JuggleVision will have several segments.

Sponsor agrees to contribute $250 towards the cost of producing one segment ("the Segment").

Sponsor may select the the Segment from any that have not yet been sponsored.

IJA will add an announcement in JuggleVision before the Segment stating that Sponsor has helped finance the Segment, and providing a brief description of Sponsor and the URL of Sponsor's web site. The wording of the announcement is to be mutually agreeable to IJA and Sponsor.

Sponsor may also provide a video commercial up to two minutes in length. IJA agrees to add the commercial to a "Special Features" menu on the DVD.

IJA reserves the right to request changes in the commercial if it is not suitable for a family audience or might expose the IJA to any liability.

IJA will not make any other use of video commercial without permission of Sponsor.

IJA will invoice Sponsor after JuggleVision has been distributed. Payment will be due within 30 days of the invoice date.
